1. INTRODUCTION Welcome to IRS Monitoring from Lifeline IRS Solutions, LLC d/b/a Travis Watkins Tax (“Lifeline” or “we”). Lifeline is not a law firm. It is separate and distinct from any other entity (and/or any lawyer employed by Lifeline). While we employ lawyers, some services are not purely legal in nature and the protection of the client-lawyer relationship may not exist. We do not perform legal services under this contract. We employ attorney employees as well as non-attorney tax professionals in this tax resolution company. You have been advised and agree that the services outlined in this agreement are not legal services and the protections of client confidences, prohibitions against representation of persons with conflicting interests, and obligations of a lawyer to maintain professional independence may not apply in those circumstances. You understand that the performance of tax resolution services by an attorney employed by the company does not convert resolution services to legal services. We start every new subscriber with a contract. The following contract spells out what you can expect from us, and what we expect from you. If you agree to what you read below, you should click “Yes” at the end of the contract to acknowledge that you have agreed. We intend this to be the legal equivalent of your signature on a written contract, and equally binding. Only by clicking “Yes” will you be able to access and use the services available on this Website. 2. ACCESS AND SERVICES Your access to the various services available on this system depends on the level of access you select. You may change or discontinue your account at any time. We reserve the right to modify, suspend, or terminate access to the service on our system at any time for any reason, without notice or refund, including the right to require you to change your login identification code or password and sign necessary documents and provide information necessary to allow us authorization to provide monitoring services, as we may request it. We also reserve the right to delete all program and data files associated with your account and/or other information you have on our system. Services will fully commence when we receive your properly completed IRS Form 8821 - Tax Information Authorization - you sign. The processing of this form is within the exclusive purview and discretion of the IRS, which entity may require amendments and re-submissions of Form 8821 at various times. We make no representation or warranty as to the processing times of Form 8821 with the IRS, but we will use best efforts to facilitate processing of Form 8821 with your cooperation. THESE SERVICES ARE MONITORING AND DETECTION OF CRITICAL TAX FILING, COLLECTION AND AUDIT EVENTS ONLY. IF FURTHER REPRESENTATION IS REQUIRED, SUCH SERVICE WOULD NECESSITATE SEPARATE NEGOTIATION BETWEEN US, SEPARATE CONSIDERATION, A SEPARATE AGREEMENT AND A PROPERLY EXECUTED IRS FORM 2848 - POWER OF ATTORNEY AND DECLARATION OF REPRESENTATIVE, TO BE SUPPLIED BY US. Should you retain another authorized tax representative using another Form 8821 or Form 2848, our tax information authorization will be automatically superseded by the new authorization UNLESS you affirmatively check the box maintaining our authority to receive tax information on your behalf. You or your representative will also need to attach our Form 8821 to your submission to keep it also on file at that time. Please call 800-721-7054 if you would like us to review any potentially superseding Form 8821 or Form 2848. 3. FEES AND PAYMENT We will charge you a standard monthly fee for using our system as well as additional fees depending on the type of service you have selected. You should review the complete and current price before signing up for any services. You will be given the opportunity to pay by credit card or automatic withdrawal when you sign up. You can cancel your account at any time, but you will remain liable for any charges accrued up to that time, including full monthly charges for the month for which you discontinued service. Your failure to maintain our Form 8821 when you designate a new representative, as described in Section 2, above, does not result in automatic cancelation of services. We reserve the right to change our fees at any time for any reason, but whenever possible, we will give you at least one month’s notice of such change. 4. SYSTEM RULES You agree to be bound by certain rules that are important for the proper use of this service. Your failure to follow these rules whether listed below in the contract or in bulletins posted at various points in the system, may result in termination of your service. First, do not tell others your password or let your account be used by anyone except yourself. Second, do not attempt to log in more than once at the same time. Third, do not use or system to commit a crime, or to plan, encourage or help others commit a crime, including crimes related to computers. 5. PRIVACY CONSIDERATIONS Your communications on this system are, in most cases, viewed only by you and anyone to whom you address your message. However, as system operators, we may need to review or monitor your electronic mail and other communications from time to time. In addition, we reserve the right to copy and distribute to third parties any information associated with your activities on the system. Therefore, you should not expect to have a right to privacy in any of your communications. 6. PROPRIETARY RIGHTS By posting messages, uploading files, inputting data or engaging in any form of communication on our system, you are hereby granting to the public an unrestricted license to use, copy, modify, adapt or document in any form any communications, information or any underlying work in which you may possess proprietary rights, including but not limited to copyright rights. All users of the system are therefore deemed to have disclaimed or waived all copyright ownership rights in their messages or files, even if they contain copyright notices. You shall have absolutely no recourse against us as the system provider for any alleged or actual infringement of any proprietary rights to which you may claim ownership. Your use of our system affords you access to many of the features of our system, but some aspects of our system remain within our exclusive proprietary control. We or our suppliers own the intellectual property rights to any and all protectable components of our system, including but not limited to the computer software, the related documentation, the end-user interfaces, the name of our system. You may not reproduce any sequence of messages from our system, either electronically or in print, without our permission. In addition, you may not copy, modify, adapt, reproduce, translate, distribute, reverse engineer, decompile or disassemble any aspect of the system that we or our suppliers own. 7. LIMITATION OF LIABILITY You must bear the risk of any liability relating to your use of our system or taxes owed or owing, including penalties and interest. We would not be able to afford to operate the system if we were held accountable for every wrongful action by every online subscriber. ACCORDINGLY, YOUR USE OF THE ONLINE SYSTEM IS ENTIRELY AT YOUR SOLE RISK. WE WILL NOT BE RESPONSIBLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT OR INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES OR LOSSES YOU MAY INCUR IN CONNECTION WITH OUR SYSTEM. YOUR USE THEREOF OR ANY OF THE DATA OR OTHER MATERIALS TRANSMITTED THROUGH OR RESIDING ON OUR SYSTEM, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF WE HAVE ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS. 8. PRE-DISPUTE BINDING ARBITRATION The parties herein recognize disputes and differences may arise between the parties; The parties recognize that litigation in court can be time consuming and expensive; The parties agree it is in their best interest to appoint an arbitrator to resolve such disputes as they arise; For these reasons, the parties hereto agree to refer the following matters and responsibilities to the Arbitrator: Any fee disputes between Us and claims by You regarding Our handling of your matter for binding resolution by the American Arbitration Association; except that this does not bar Us from collecting amounts due it in other ways, including litigation. In the event there are any disputes or controversies that arise between the parties pursuant to the terms of this contract, then the parties are waiving their right to litigate these issues in court and instead elect to have these disputes resolved through binding arbitration. The parties agree that any disputes are to be arbitrated through the American Arbitration Association and that the parties agree to abide by the rules of the Commercial Arbitration Rules of the American Arbitration Association. It is further agreed that all claims and disputes arising or relating to the Contract are to be settled by binding arbitration in the State of Oklahoma. Said arbitration is to be resolved through the Commercial Arbitration Rules of the American Arbitration Association and the parties agree to abide by these rules. Any decision or award as a result of any such arbitration shall be issued in writing and the arbitrator shall be mutually selected pursuant to the Commercial Arbitration Rules of the American Arbitration Association. Any arbitration award may be confirmed in a court of competent jurisdiction. You have been encouraged to take an opportunity to separately consult with independent counsel as to the operation of this Pre-Dispute Binding Arbitration Provision. 9. CLASS ACTION WAIVER Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and us agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. 10. INDEMNITY You shall defend and indemnify us and hold us harmless from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including reasonable attorneys’ fees) relating to an acts by you or materials or information transmitted by you in connection with our system, leading wholly or partially to claims against us or our system by other subscribers or third parties, regardless of the type of claim or the nature of the cause of action. 11. DISCLAIMERS OF WARRANTY THE SYSTEM IS PROVIDED “AS IS” AND WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT OR ANY OTHER WARRANTY, CONDITION, GUARANTY, OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION CONTAINED THEREIN OR PROVIDED BY THE SERVICE. 12. CHOICE OF LAW AND VENUE Client agrees that this agreement shall be governed by, and construed in accordance with, the laws of the State of Oklahoma. To the extent the Pre-Dispute Binding Arbitration Clause, above, were to be found unenforceable for any reason, client agrees and consents to the exclusive jurisdiction of the courts of the State of Oklahoma for all purposes regarding this agreement and further agree and consent that venue of any action brought hereunder shall be exclusively in the County of Oklahoma. 13. ACKNOWLEDGEMENT This Agreement represents the entire understanding between you and us regarding your relationship to us and supersedes any prior statements or representations.
